[A] Budget: Looking for Proposal
[B] Scope of Service:
(1) Vendor needs to provide attorneys and firms to assist and represent the authority on an as needed basis include advising on issues of general and specific liability; open meetings and public records act compliance; general guidance regarding compliance with federal, state and local laws, regulations, and policies; drafting, reviewing and negotiating contracts, memoranda of understanding, and memoranda of agreement with vendors and other parties; representation in all courts, tribunals, and regulatory bodies having jurisdiction over the authority; and for such other legal services as may be requested and required on behalf of the authority to the government authority located in Providence, RI.
- Attending and representing the authority at meetings when requested;
- Conferring with and advising designated officers, employees and members of the board of commissioners of the authority on legal matters and issues as requested;
- Drafting and review of legal instruments, contracts, agreements, requests for proposals, certifications, resolutions, specifications, bonds, waivers, and other such legal drafting as may be required;
- Appearance for and representation of the Authority, at administrative hearings, meetings, or in court on litigated matters at all levels (inclusive of appeals), where existing or future outside counsel is not present or in addition thereto when requested by the Authority;
- Consultation as necessary and as directed with all outside counsel in advisement of the executive director or authority board;
- Assisting and advising the Authority on its procurement generally, and representation of Authority on matters arising out of said procurement and procurement process;
- Review of federal guidelines and regulations and advisement of authority and staff;
- Review of employee benefits contracts, including but not limited to pension plan documents, group annuity contracts, group medical insurance contracts, life insurance contracts and disability contracts;
- Drafting, review, and representation in connection with acquisition and disposition and redevelopment of property, including but not limited to the examination of title, furnishing of an opinion of title.
- Advise and assist the Authority in its administration of existing programs and subsidiary entities and in the development any new programs and initiatives including establishment of other not-for-profit subsidiaries;
- As needed, advise the authority on hiring of other outside legal counsel if needed.
- Advising the authority and its board with compliance to the open meetings act and access to public records act.
- Advising the authority on insurance matters and advising and representing the authority on liability issues.
- Providing monthly reporting and billing of all activities authorized and undertaken on behalf of authority related to the scope of services described herein, and to be contained in the eventual agreement executed with the authority.
